Terms of Use for Ubora Health

Welcome to Ubora Health. These Terms of Use ("Terms") are a legal agreement between you and Ubora Health, Inc. ("Ubora," "we," "us," or "our") regarding your use of our website, mobile applications, and services (collectively, the "Services").
1. Acceptance of Terms
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using the Services immediately. If you use the Services on behalf of a minor, you represent that you are their legal guardian or authorized representative.
Some Services may require you to agree to additional terms specific to those Services, which terms will be presented to you prior to your use of those Services and are included as part of these Terms of Use.
2. Important Disclaimers
- Not for Emergencies: Do not use Ubora Services for medical emergencies. In an emergency, call 911 or your local emergency services immediately.
- No Medical Advice: Ubora is a technology platform, not a healthcare provider. We provide information and tools to help you find and book appointments, but we do not provide medical advice, diagnoses, or treatment. The health information contained in Ubora is not a substitute for professional healthcare advice.
- Provider Relationship: Your use of Ubora does not create a doctor-patient relationship with Ubora. Any such relationship is strictly between you and the Healthcare Provider or Healthcare Services Provider you choose.
3. About the Services
Ubora grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license to use the Services in accordance with these Terms of Use.
To benefit from the Services we offer, you must create an account (a "Ubora Account") and provide certain basic information about yourself.
We make no guarantees, representations or warranties, whether express or implied, with respect to any content (including but not limited to descriptions of professional qualifications, expertise, quality of work, price or cost information, insurance coverage or benefit information). In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on any such content. Furthermore, we do not in any way endorse, refer or recommend any individual or entity listed in content and/or accessible through the services.
The healthcare services outlined in Ubora include but are not limited to:
- Healthcare providers (such as doctors, nurse practitioners and physician assistants)
- Home health services
- Care centers (independent living, assisted living and memory care)
- Transportation services
- Durable medical equipment providers
- Diagnostic laboratories
- Diagnostic imaging centers
- Pharmacies
- Behavioral health services and counseling services
- Wellness centers
4. User Accounts and Responsibilities
When you create a Ubora Account, you will provide an email address and create a password (collectively, "Credentials"). You should keep your Credentials private and not share your Credentials with anyone else. You promise to provide us with accurate, complete and updated registration information about yourself.
- Accuracy: Provide true, current, and complete information.
- Security: Keep your password confidential. You are responsible for all activity under your account.
- Notification: Promptly notify us at Support@UboraHealth.com if you suspect any unauthorized access.
You are also responsible for reviewing and complying with the terms set forth in our Acceptable Use Policy and our Community Standards.
- Selection: You are responsible for choosing your own Healthcare Services Provider. Ubora does not endorse or guarantee the quality or credentials of any specific Healthcare Services Provider.
- Cancellations: You must follow the specific cancellation policies of the Healthcare Services Provider you book with. Ubora is not responsible for any fees charged by providers for missed appointments.
5. Permitted Use and Restrictions
You may use the Services only for personal, non-commercial purposes. You agree NOT to:
- Use the Services for any illegal purpose or to violate local, state, or federal laws.
- Resell, frame, or mirror any part of the Services without authorization.
- Attempt to bypass security features, "scrape" data, or interfere with the proper working of the Services.
- Submit fraudulent information or reviews.
All of the Content is owned by us or our licensors and is protected by copyright, trademark, patent, and trade secret laws, other proprietary rights, and international treaties. We give you permission to use the Content for personal, non-commercial purposes only and do not transfer any intellectual property rights to you by virtue of permitting your use of the Services.
Intellectual Property: Ubora owns all rights, titles, and interests in the Services, including all software, graphics, and branding. You may not copy or modify any part of our platform without our written consent.
6. Third-Party Resources
While using the Services, you may encounter links to other websites. These links are provided for your convenience only and we do not endorse these sites or the products and services they provide. You acknowledge and agree that we are not responsible or liable for the content or accuracy of these other websites.
7. Termination
We reserve the right to suspend or terminate your access to the Services at any time, without notice, if you violate these Terms of Use or for any other business reason. You may also terminate your account at any time by contacting us. Ubora shall not be liable to you or any third party for any termination, suspension or deactivation of your access to the Services.
Ubora reserves the right to investigate and, at our discretion, take appropriate legal action against anyone who violates these Terms of Use or applicable law related to the Services, including without limitation, removing any offending communication from the Services, terminating the Ubora Account of such violators, and/or blocking your use of the Services.
8. Reviews and Other Content You Post
You may have the opportunity to submit feedback regarding your experiences with Healthcare Services Providers you find through the Services. It is important that you act responsibly when providing Reviews. The Reviews you provide must comply with our Guidelines when Posting Reviews and Acceptable Use Policy.
By posting Reviews in Ubora, you agree to and hereby grant to Ubora and its affiliates, agents, and contractors an irrevocable, perpetual, royalty-free use of your posted Review. A Posted Review is the sole responsibility of the person who wrote it and does not reflect the opinion of Ubora.
9. Payment and Transaction Processing
Ubora and/or its payment processing partner may collect from the applicable Healthcare Services Provider a transaction processing fee for our billing, collection and payment services performed in connection with such payment. When applicable, you and your Healthcare Services Providers are responsible for agreeing to pricing for any service or product. Ubora is not responsible for your or any Healthcare Services Provider's failure to agree to pricing for any additional or different services.
10. Limitation of Liability and Indemnification
We created Ubora to improve individual's access to healthcare services. With this in mind, we want you (the User) to acknowledge that we have no control over any information you access and the effect of such information to you or how you interpret the same.
- As-Is Basis: The Services are provided "as-is" without warranties of any kind.
- Liability: Your sole and exclusive remedy for any dispute with us is the cancellation of your Ubora account.
- Indemnity: You agree to indemnify and hold Ubora harmless from any claims or losses arising from your misuse of the Services or violation of these Terms.
11. Governing Law and Disputes
These Terms, your use of the service, and all related matters, regardless of your location, are governed solely by and in accordance with the laws of the United States and the State of California. Any legal action must be brought in the courts located in San Bernardino County, California.
Arbitration Agreement: You and Ubora agree that any dispute shall be resolved by final and binding individual arbitration except as otherwise provided hereinafter.
